1. A current first-year Master of Law student from a prestigious PRC university or a third-year undergraduate student from an esteemed PRC university law school;[[[

2. PRC Bar qualification strongly preferred;[[[

3. Prior working experiences in either a law firm, court or companies’ legal department are a big advantage;[[[

4. Outstanding academic performance; [[[

5. Fluent in both written and oral English; [[[

1. LABOUR PROTECTION AND WORKING CONDITIONS[[[

a) The Company shall strictly implement the health and safety rules and standards at work. The Company will provide the Employee with a safe and healthy working environment in compliance with relevant State regulations, and equipped with the necessary facilities to ensure the safety of employee. [[[

b) The Employee shall strictly observe the rules for work place safety.[[[


[


2. REMUNERATION[[[


[


a) The Employee’s basic salary will be RMB/ gross per month (including individual income tax and employee’s own social insurance contributions). [[[


[


b) A year end bonus of one additional month gross basic salary will be paid which will be on a pro-rated basis for services rendered less than one year provided that the Employee is employed at the time of the payment of the bonus.[[[


[


c) Performance related bonus up to / % of annual basic salary based on the business results and individual performance in the previous year may be payable the following year provided that the Employee is employed at the time of the payment of the bonus.[[[


[


d) The Employee’s basic salary may be raised on an annual basis depending on the Company’s business performance and the Employee’s work performance. The decision on whether to raise the Employee’s basic salary and by how much shall be in the sole discretion of the Company.[[[


[


e) In accordance with relevant regulations prescribed by the State and local authorities, and subject to Clause 5.1, the Company has the right to withhold from any remuneration payments the relevant amounts for individual income tax, contributions to housing fund, pension fund, unemployment insurance, medical insurance and other relevant deductions. [[[


[


3. SOCIAL INSURANCE AND WELFARE[[[


[


a) The Company shall contribute to the pension fund, unemployment insurance, housing fund, medical insurance and other social insurance funds for the Employee in accordance with the standards prescribed by the local government or shall entrust a qualified service organisation to deal with such contributions on its behalf. The Employee shall also contribute his/her share of the social insurance in accordance with relevant provisions.[[[


[


b) The Company shall comply with the relevant State regulations in relation to other welfare matters relating to the Employee. The details of the benefits are described in the Company’s policies.[[[


[


4. EDUCATION AND TRAINING[[[


[


a) The Company will offer appropriate training programs on business ethics, work safety and other specialised techniques relevant to the duties of the Employee.[[[


[


b) The Company may, before providing training, at its discretion require the Employee to enter into an agreement with respect to the training, which may include provisions on the content of the training program and payment of any training costs. [[[


[


c) Notwithstanding Clause 7.2 above, where this Contract is terminated prior to expiration of the first term of this Contract (the “Service Period”) due to reasons caused by the Employee, the Company has the right to claim reimbursement from the Employee a proportionate amount of the f relevant expenses incurred in training the Employee irrespective of conclusion of a specific training agreement. The amount to be reimbursed by the Employee will be calculated by taking the total amount of expenses specifically devoted to training the Employee and multiplying that amount by the amount of time remaining in the Employee’s Service Period at the time of termination divided by the total amount of time in the Employee’s Service Period. For the purpose of this clause, the Service Period shall be [AMOUNT] years.[[[

1. 不可抗力[[[

1.1 本合同下的“不可抗力”仅指足以影响到本合同相关义务正常履行的不可预见、不可避免的自然灾害,以及通过双方书面确认的其他不可抗拒的因素。[[[

1.2 受不可抗力影响的一方应在不可抗力出现的二十四小时内通知另一方,并在七日内提供不可抗力事件发生地区公证机关或经另一方认可的其他机构出具的证明材料。超出规定时间未提供的文件将被视为未出现不可抗力。[[[

2. 合同的变更与解除[[[


[


2.1 服务期间,如果甲方对服务内容进行调整,甲方需要提前一天通知乙方,对于不导致服务报酬的增加或者增加的金额低于10%的服务内容的调整,乙方同意无条件满足并且服务报酬不增加。任何可能会导致甲方应支付的服务报酬的增加或者变更,在变更前双方应参照本合同规定的程序签署补充协议。[[[

2.2 因甲方的原因致使情况发生变化,本合同下的全部或者部分服务已经不需要的,甲方有权提前三天通知乙方取消全部或者部分服务。取消部分服务的,甲方应当支付已经履行部分的报酬,并按照取消部分报酬的1%或者乙方损失中较低者作为乙方损失的全部赔偿。除此之外,甲方免予承担其他责任。[[[

2.3 如一方违反有关法律规定或者合同约定,经另一方通知后十日内仍不纠正,或者一方严重违约时,另一方有权解除合同,违约方应当赔偿因此而给守约方造成的损失。[[[


[


3. 违约责任[[[


[


3.1 违反本合同第5.5 条规定,乙方应按照本合同总金额的5%向甲方支付违约金。[[[


[


3.2 乙方违反本合同第7条和第8条中的任一项规定,甲方有权不支付相应的报酬,并且乙方应按照合同总金额的20%向甲方支付违约金,并赔偿由此给甲方造成的全部损失(包括名誉损失等间接损失)。甲方名誉损失可委托有关评估机构进行评估,但任何情况下应按照不低于五万元计算(以下条款同样适用)。[[[

3.3 乙方违反第9条“合法性与知识产权”的规定,甲方有权不支付本合同项下的服务报酬,乙方还应承担全部费用并负责处理完毕由此而应之的纠纷,同时向甲方支付违约金十万元/次,并赔偿由此给甲方造成的全部损失(包括名誉损失等间接损失)。[[[

3.4 迟延交付或交付数量不足时的违约金应按照迟延交付或交付数量不足的部分合同金额的百分之十/天向甲方支付违约金。[[[


[


3.5 如出现第6.5条规定的高不合格率,除按以上第2.3条规定解除本合同外,乙方还应按照本合同总额的50%向甲方支付违约金,并赔偿甲方的全部损失。[[[


[


3.6 如因乙方的原因,出现使用甲方标识的本合同所述产品以及其他产品有第三人(非甲方授权)使用、生产或销售,乙方应按侵权产品货值的两倍向甲方支付违约金。对于乙方未经甲方书面许可使用甲方商标的,乙方在甲方提出侵权警告后部停止使用的,乙方应按照侵权产品的市场售价总价款的十倍向甲方支付违约金,同时甲方保留提出侵权诉讼的权利。以上约定的违约金不足人民币十万元的,以十万元计算,除此之外,乙方还应赔偿甲方的其他损失(如果有的话)。[[[

3.7 违反第7条的规定,甲方有权立刻解除本合同、不向乙方支付任何报酬(如果甲方已经支付的,乙方应当全额返还),乙方还应当按照合同总价额的50%向甲方支付违约金。[[[

3.8 甲方逾期付款应按照银行同期存款利息率承担逾期付款的利息。[[[
